Code Of Conduct For Members Of The Board And Senior Management Personnel
The Company has framed a Code of Conduct for Members of the Board of Directors and Senior Management Personnel in compliance with the provisions of Clause 49 of the Listing Agreement with the Stock Exchange. Senior Management Personnel would comprise all Members of Management one level below the Executive Director/(s), including all Functional Heads. This code of conduct comes into force with immediate effect.
Code of Conduct
1. To observe highest standards of ethical conduct, honesty and integrity.
2. To be fair in dealings in the best interest of the Company and fulfill their fiduciary obligations to the Company and its shareholders.
3. To avoid conflicts of personal interest with the interest of the Company and to disclose promptly to the Board all contractual interest whether directly or indirectly entered into with the Company.
4. To maintain confidentiality of information entrusted to them by the Company or which has come to their knowledge, except when authorized or legally required to disclose such information, even after they cease to hold Office or to serve the Organization. Not to use confidential information acquired in the course of their position in the Company for personal advantage or for the advantage of any other entity even after cessation of relationship with the Company.
5. To comply with relevant laws, rules and regulations applicable to the Company.
6. To ensure that the Company’s assets are used by them for official purpose or as per the terms of appointment. Not use the Company’s property, information, position or opportunities for personal gain.
7. To ensure that Financial Statements and Accounts are prepared in accordance with accounting standards, laws and regulations and Adequate Accounting Systems and Procedures are introduced to reflect true and fair position of all business transactions.
8. Not to give any statement to the public or any media except those specifically authorised by the Management.
9. Ensure equal opportunities to employees at all levels, provide congenial working environment in the Company free from any discrimination on grounds of cast, religion, colour, marital status, sex, age and nationality.
10. Ensure to provide safe and healthy working environment and preservation of environment so as to avoid wastage of energy, natural resources and implementation of waste management procedures and preservation of ecological environment.
11. To uphold the goodwill and credibility of the Company.
12. Ensure compliance of Company’s Policy on Disclosures and Internal Procedures for Prevention of Insider Trading under SEBI Regulations.
ENFORCEMENT OF CODE OF CONDUCT:
Directors/ Senior Management shall be accountable for complying with this code and shall give a declaration to the board on annual basis as on 31st March every year to the effect that they have compiled with the provisions of this Code. New directors/senior managers will sign such a deed at the time when their directorship/employment begins. All directors and senior management personnel shall affirm compliance with the code on an Annual basis. Senior Management personnel agrees to submit the quarterly compliance certificate to Managing Director/Senior Vice President Finance within 10 days of the end of the quarter.
VIOLATIONS OF CODE:
It is ethical responsibility of every director and senior management personnel to abide by and enforce this Code. The Board of Directors shall take disciplinary action against any director or senior management personnel who is found guilty under the Code.
The Company Secretary shall be the Compliance Officer for the purpose of this code.
WAIVER AND AMENDMENTS TO THE CODE:
This code is subject to modification and review by the Board of Directors from time to time and any amendments or waiver of any provisions of this code would be approved by the Board of Directors.
NO RIGHTS CREATED:
This Code of Conduct is a statement of certain values and principles, policies and procedures, etc., governing the Directors / Senior Management of the Company relating to the conduct of the Company’s business. It is to be clearly understood that this Code of Conduct is not intended and does not in any way or for any matter whatsoever create any rights or obligations towards any employee, customer, client, supplier, competitor, shareholders or any other persons or entity.
